上诉人主张:

1.中山大学单方解除合同构成根本违约。从合同履行情况看,业丰公司、长城公司已履行拆迁、建设永久和临时学生宿舍、风雨操场等前期义务,后续应是中山大学履行出地义务和其他协助义务。从上述对中山大学违约行为的分析可知,中山大学未尽合同义务,违约在先。因此,不论中山大学的违约行为是否直接影响案涉项目工程的建设进度,业丰公司、长城公司应享有履行抗辩权,在中山大学履行其合同义务之前,有权拒绝中山大学的交付要求,不存在逾期开发的问题。因此,中山大学单方解除案涉合同构成根本违约,应当承担违约赔偿责任。【核心思路是:中山大学未按合同约定时间提供土地】

< strong > appellant’s claim: < / strong >

1. < strong > Sun Yat sen University’s unilateral termination of the contract constitutes a fundamental breach of contract. From the performance of the contract, Yefeng company and Great Wall company have fulfilled their preliminary obligations such as demolition, construction of permanent and temporary student dormitories and stormy playground, and Sun Yat sen University should fulfill its obligations to go out of the land and other assistance obligations. From the above analysis of Sun Yat sen University’s breach of contract, it can be seen that Sun Yat sen University failed to fulfill its contractual obligations, and the breach of contract came first therefore, no matter whether the breach of contract of Sun Yat sen University directly affects the construction progress of the project involved in the case, Yefeng company and Great Wall company shall have the right to defend their performance, < strong > before Sun Yat sen University performs its contractual obligations, they have the right to refuse the delivery requirements of Sun Yat sen University, and there is no problem of overdue development therefore, the unilateral termination of the contract involved in the case of Sun Yat sen University constitutes a fundamental breach of contract and should be liable for compensation for breach of contract< Strong > [the core idea is: Sun Yat sen University fails to provide land at the time agreed in the contract] < / strong >
